1. DEFINITIONS

Words and expressions which apart in these terms and conditions have the following meaning. GTL means Global Telecommunications Ltd whose registered address is at Office 1, Izabella House, 24-26 Regent Place Birmingham, B1 3NJ. Registered in England 04132812.

“Account” means the record of charges.

“Agreement” means the terms and conditions hereafter detailed in respect of the services.

“Charges” means the service charge(s), usage charges or any other charges payable by the customer under this agreement. All such invoices are due for payment within 14 days of invoice date.

“Order” means the customers order for the services and any further orders placed in respect of this agreement to which these terms apply.

“Number” means the telephone number(s) allocated in the provision if the services to a customer which enables access to a service.

“Price List” means the GTL list of charges which can be amended with 30 days written notice.

”Public Switched Network” means the public telecommunications systems by which the services are made available through the system.

“Services” means those business, international, local and UK telecommunications services which are made available to customers from time to time by GTL.

“Service Charge” means the rental charge payable for the continued access to the services.

“System” means the communications systems provided by GTL by the network operators.

2. AGREEMENT

GTL will only be bound by an order when it has been placed on the secure website of over the phone from an authorised representative of the customer and GTL.

The service is initially issued for a minimum period of 12 months commencing on the date of the order placed. After the initial period (12 months), the renewal rolls over every month unless cancelled by the customer or GTL in writing giving 30 days notice.

If the customer wishes to terminate the services GTL must receive written notice from the customer.

3. PROVISION OF SERVICES

GTL will use reasonable efforts to make the services available at all times. However, the quality and availability of the services may be affected by factors outside its control such as fire, flood, and heave, subsidence, physical obstructions, atmospheric conditions, Acts of God, industrial action, default or failure of a third party or Government action. The services may also be affected by faults in the network or system.

The services are made available on the basis that they are not used in any manner which will or may constitute a criminal act or infringement fo the rights any person or company (including but not limited to rights of confidentiality and copyright), or violation or disruption or infringement of any statutory duty or obligation in contract to or otherwise to any third party, or in a way which will or may injure or damage any persons property or cause the quality the services to be impaired. The customer will take reasonable care to ensure that any personal identification number supplied to them is kept confidential and not disclosed.

4. COST

The individual charges detailed on invoices are exclusive of Value Added Tax in the United Kingdom. If you are outside the United Kingdom the tax position may change depending on your location.

GTL may require a deposit to be paid by the customer if services are routed to mobiles or overseas. The deposit will be requested during the credit checking process and services may not be supplied if a deposit is refused by the customer.

GTL may vary its charges at any time and give 30 days notice to the customer and may also vary the terms and conditions of this agreement if new legislation regulation or other licences make it necessary.

If a customer wishes to dispute any charges shown on an invoice, such dispute must be notified in writing to GTL within 14 days of the date of the invoice. Failing to dispute the invoice within 14 days of the invoice date shall be deemed to have accepted its correctness.

The costs of making a call to numbers are determined by the PSN operator and will be subject to change. It is the responsibility of the customer to ensure that all customers are made aware of the cost to call the appropriate numbers.

5. GTL LIABILITY

GTL shall not be liable for any loss, damage or injury to you whatsoever and however caused, whether direct or indirect, consequential or contingent and whether foreseeable or not. In particular GTL shall not be liable for any loss, loss of business, profit savings, revenue use, anticipated, savings or goodwill. All other statutory, expressed, implied or collateral terms conditions or warranties are negated.

GTL will not be liable if it is unable to perform an obligation or provide the services because of any factor outside of its control, including but not limited to Acts of God, industrial action, default or failure of a third party, or government action.

6. SUSPENSION OF SERVICES

GTL may suspend the services in whole or in part, or disconnect the number at any time if any charges whatsoever are in arrears. A £50 reconnection fee may be charged.

If the customer is in breach of any term of this agreement or any other agreement with GTL or it exceeds any financial limit imposed under this agreement or any other agreement of the customer acts in such a way that the operation of the system or service may be jeopardised or impaired the number or service may be terminated.

If GTL suspects fraudulent behaviour on the number or service the number to service may be terminated with immediate effect.

7. WHEN THE AGREEMENT ENDS

GTL may terminate this agreement by notice in writing if the customer is in breach of any of the terms of this agreement or if a petition or receiving order in bankruptcy is presented or made, or if GTL reasonably anticipate that any of such events are imminent or if limited company, a resolution is passed to wind up that company, or if a receiver is appointed over the whole of the companies assets, or if any license to runt he services, whether issued under the Wireless Telegraphy Act 1949 to 19678, or Telecommunications Act 1984 or otherwise revoked, terminated or modified for any reason either in whole or in part, or if the customer terminates this agreement save for the reasons of expiry or otherwise of the license above. The customer must then pay all outstanding service and usage charges.

Following the termination of this agreement the customers right to use the number ceases immediately and GTL shall be at liberty to reallocate that number as it sees fit.

8. GENERAL

This agreement is the complete and exclusive statement of the agreement between GTL and the customer. It supersedes all understandings or prior agreements whether oral or written, and all representations or other communications between GTL and the customer.

GTL may assign all its rights and obligations without the customers consent.

GTL are hereby authorised to use the customers line identity information to enable GTL to secure the relocation of services for the customer.

The customer agrees to the disclosure to any telecommunications company debt collection agency, credit reference agency security agency or financial institution of any information relating to this agreement and the account, or any such other disclosure as may be within the domain of the Data Protection Act.

GTL will address all bills and any notices under this agreement to the account address. The customer must inform GTL of any changes in address, location or company name.

The General Data Protection Regulation GDPR May 2018 covers the privacy of this data.

Any waiver, concession or extra time allowed is limited to the specific circumstances in which it was given. It does not affect GTL rights under the agreement in any other way.

This agreement shall be governed, construed and shall take effect in accordance with the laws of England. It shall be subject to the jurisdiction of the English courts.

Payments to be ascertained by reference to the price list are the amounts specified the edition of the price list in force on the date when such payments become due.

Reference to Acts of Parliament include amending legislation and instruments and regulations made thereunder.

In the event of the customer porting the number or service to any other provider, a porting fee becomes due to GTL. The porting out fee is the remaining rental plus an administration fee of £50.
